Use of Campus2City.com (the “Site”) is subject to these following Terms of Service (“Terms”). In order to utilize the resources available on the Site, you are required to register either as a student, parent or partner (each, a “User”) and indicate acknowledgment and agreement to these Terms. These Terms form a binding agreement between each User and Campus2City, LLC (“C2C”) as the owner and operator of the Site.

1. Registration. By registering on the Site, User represents that User is over 18 years of age. a. If registering as a student, User represents that, at the time of registration, User is either: (a) enrolled at a college, university or other similar institution of higher education (“College”) or (b) a recent College graduate. b. If registering as a parent, User represents that, at the time of registration, User is either a parent or guardian of a College student or College graduate. c. Colleges and businesses that are interested in learning more about the Site and its utility to students and parents may only register as a partner. All information User provides on the Site, including any registration details, must be accurate, current and complete.

2. Site Access. Upon registration, Users must create a user name and password (“Log-in Credentials:”). Users must treat Log-in Credentials as confidential and may not share such Log-in Credentials with any third party. User is responsible for any and all actions taken on the Site using the Log-in Credentials. User must notify C2C immediately in the event that User becomes aware of any unauthorized use of User’s Log-in Credentials.

3. Use Rights and Restrictions. User is permitted to use the Site for its intended purposes and in compliance with all applicable laws and these Terms. Users may not: a. copy, modify, create derivative works of, publicly display or perform, republish, download or store, or transmit any of the material on the Site without C2C’s prior written consent; b. engage in any activities that introduce any viruses, trojan horses, worms or other malicious or harmful materials; c. gain unauthorized access to, interfere with, damage or disrupt any portion of the Site; d. attack the Site via any type of denial of service attack; or e. otherwise attempt to interfere with the proper working of the Site.

4. Consent Regarding Data. For any data that User posts, shares or is otherwise made available to C2C by or through User, User hereby consents grants to C2C a royalty-free, worldwide perpetual right to use, publish, distribute and share for all lawful purposes.

5. Privacy. The Site is governed by Campus2City.com’s Privacy Policy, which is incorporated here by reference.

6. Ownership. All right, title and interest in and to the Site, including all information, software, text, displays, images, video and audio) and the design, selection and arrangement thereof and its underlying technology vests exclusively in C2C and/or our affiliates and licensees. No right, title or interest in or to the Site or any of its content is transferred to User, and all rights not expressly granted are reserved by C2C.

7. Links. If the Site contains links to other sites and resources provided by third parties (including advertisements or sponsored content), these links are provided for convenience only. C2C has no control over the contents of those Sites or resources and if User decides to access any of the third party sites or resources linked to this Site, User does so entirely at User’s own risk.

8. Release and Indemnification. User acknowledges and agrees that the Site is merely a venue for resources, including without limitation, the roommate, apartment and sublet finder portal (“Portal”). C2C does not verify the accuracy or veracity of any information posted by Users on the Portal and C2C is not responsible for the content of Portal posting, including messaging/chat features. User hereby releases C2C, our employees, directors, contractors, agents and licensors from any liability arising out of or relating to the use of the Poral or any content thereof. User agrees to indemnify, defend and hold C2C, our employees, directors, contractors, agents and licensors harmless from and against any and all claims and expenses, including without limitation reasonable attorney fees, in any way arising out of or related to the Portal, the use of the Site, a violation of these Terms or any other law or regulation.

9. DISCLAIMER OF WARRANTIES: C2C IS NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR RELATING TO THE PORTAL, THE SITE OR ON ANY SITE LINKED TO IT. USE OF THE PORTAL, THE SITE AND ANY CONTENT OBTAINED THROUGH THE SITE IS AT USER’S OWN RISK. THE PORTAL, SITE AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED AND ARE SUBJECT TO MODIFICATION AT C2C’s SOLE DISCRETION. C2C HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.

10. LIMITATION OF LIABILITY: USER AGREES THAT C2C SHALL NOT BE LIABLE FOR ANY DAMAGE, LOSS OR EXPENSE OF ANY KIND ARISING OUT OF OR RESULTING FROM USE OF THE PORTAL OR THE SITE, REGARDLESS OF WHETHER SUCH DAMAGE, LOSS OR EXPENSE IS BASED IN TORT, CONTRACT OR OTHERWISE. IN NO EVENT SHALL C2C BE LIABLE TO USER OR ANY OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES REGARDLESS OF WHETHER THE FUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    1. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES. ACCORDINGLY, SOME LIMITATIONS OF SECTIONS 9 AND 10 APPLY ONLY TO THE EXTENT APPLICABLE BY LAW.

11. Governing Law and Jurisdiction: These Terms are governed by the laws of the State of New York without reference to its conflict of law provisions. User agrees that any dispute related to the Terms and/or use of the Site shall be brought in the United States District Court for the Southern District of New York or the state courts in New York County, New York and User waives any claim that such courts do not have personal jurisdiction or are an inconvenient forum.

12. Assignment. C2C may assign its rights and obligations under these Terms, in whole or in part, without notice to Users, at any time.

13. Entire Agreement: These Terms constitute the entire agreement between Users and C2C with respect to the Site and it supersedes any and all prior or contemporaneous communications. C2C reserves the right to modify these Terms and will notify Users via email of any material changes to the Terms. User’s continued use of the Site constitutes acceptance of the modified Terms.
